Terms Of Service

Welcome to Mastroke! By using our services, you agree to the following terms and conditions. Please read them carefully.

1. Services Offered

Mastroke provides services to Shopify merchants, including but not limited to:

  • Shopify Store Design & Development: Custom store design, development, Speed optimization and Conversion Rate Optimization (CRO).
  • Marketing Services: SEO, SEM, SMM, Email Marketing, Marketplace Marketing

All services are provided as per the package or agreement selected by the client.

Service Scope & Deliverables

1.1 Detailed Scope Definition

Each engagement/project shall be defined by a Statement of Work (SOW) or Scope Document, which describes (among other things):

  • Specific deliverables (e.g. design mockups, development, marketing campaigns)
  • Milestones / phases
  • Timeline for each milestone
  • Acceptance criteria (how client will review/approve)

If the client requests additional work beyond the SOW (“out-of-scope work”), such work will be quoted separately, and timelines and fees may be adjusted accordingly.

1.2 Revisions & Changes

  • Specify how many rounds of revisions are included for each deliverable.
  • Additional revision rounds (beyond the included number) will incur extra charges (and should require formal agreement).

1.3 Delivery Schedule & Milestones

  • Mastroke will use commercially reasonable efforts to meet the timelines set out in the SOW.
  • Each phase/milestone should have a target delivery date.

1.4 Client Delays & Responsibility

  • If the client fails to provide required materials, feedback, approvals, or responses in a timely manner, the delivery timeline may be delayed accordingly.
  • The client must review deliverables and provide feedback/approval within a specified period (e.g. 5 business days); if no feedback is received within that period, the deliverable may be deemed accepted.

1.5 Force Majeure / Unforeseen Delays

  • Neither party shall be liable for delays caused by events beyond its reasonable control (e.g. natural disasters, government actions, widespread internet outage).
  • The affected party must notify the other in writing of the cause and expected delay.

1.6 Standard of Care / Effort

  • Mastroke agrees to perform services with reasonable skill, care, and diligence, in accordance with prevailing industry standards.
  • Mastroke does not guarantee specific results (e.g. “Top-1 ranking on Google,” or “100% sales growth”), unless otherwise explicitly agreed in writing.

1.7 Performance Metrics / Reporting

  • For marketing services (SEO, SEM, SMM, etc.), Mastroke will provide periodic performance reports (e.g. monthly or quarterly) with key metrics (e.g. traffic, CTR, conversions).
  • The report will reflect data-backed performance, insights, and recommendations.

1.8 Remedies / Service Credits

  • If Mastroke fails to meet agreed minimum service levels (if such levels are defined), the client may be eligible for service credits or a proportionate fee adjustment.
  • Any such credits must be claimed within a defined timeframe and are subject to maximum caps.

1.9 Milestone-based Payments / Escrow

  • For larger projects, you may structure payments to be tied to milestone completions.
  • Mastroke may require an escrow or upfront deposit to commence work.

1.10 Non-Payment / Suspension of Work

  • If the client fails to pay any invoice by its due date, Mastroke reserves the right to suspend further services until payment is made.
  • Work completed up to that point remains billable.
  • Mastroke may also terminate the agreement if payment remains outstanding past a certain grace period.

2. Client Obligations

Clients agree to:

  • Provide accurate and complete information needed for Mastroke to deliver services.
  • Respond promptly to communications from Mastroke regarding the project.
  • Ensure that all materials provided (images, text, logos) are owned by the client or licensed for use.

3. Payment Terms

  • Payments are due as per the invoice schedule agreed upon during the service confirmation.
  • Mastroke may require upfront payment, milestone payments, or full payment before service delivery.
  • All payments are non-refundable unless explicitly stated in the Cancellation and Refund Policy.

4. Cancellation and Refund Policy

  • You can cancel your service subscription at any time within 3 days of payment, and you shall receive a full refund.
  • If you request a refund after 3 days of starting the work, a deduction will be applied to the refunded amount as per company norms.
  • If a payment is taken from your account without your permission, you will receive a full refund.
  • The client is responsible for the refund of the amount specified on the invoice.
  • Any additional expenses, such as advertising budgets or other investments made during the project, are not eligible for a refund.

5. Intellectual Property

  • Mastroke retains ownership of all pre-existing intellectual property.
  • Clients retain ownership of content they provide to Mastroke.
  • Deliverables (designs, code, marketing materials) will be transferred to the client upon full payment.

6. Confidentiality

  • Mastroke and the client agree to keep all project-related information confidential.
  • This includes designs, strategies, financial details, and any proprietary information.

7. Limitation of Liability

  • Mastroke will provide services with reasonable skill and care.
  • Mastroke is not liable for indirect, incidental, or consequential losses arising from the use of its services.
  • The client is responsible for compliance with local laws, including e-commerce and marketing regulations.

8. Third-Party Services

  • Some services may require third-party tools or platforms (e.g., Shopify apps, advertising platforms).
  • Mastroke is not responsible for issues arising from third-party services beyond its control.

9. Termination

  • Mastroke reserves the right to suspend or terminate services if the client violates these T&C or fails to provide required information or payments.

10. Governing Law

  • These Terms and Conditions are governed by the laws of India.
  • Any disputes will be subject to the jurisdiction of courts in India.

11. Changes to Terms

Mastroke may update these terms at any time. Clients will be notified of significant changes via email. Continued use of our services constitutes acceptance of the updated terms.
